VAALID TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the VAALID platform, websites, applications, and related services (collectively, the “Service”).

By creating an account, accessing, or using VAALID, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not use the Service.

1. Definitions

  • “VAALID”, “we”, “us”, or “our” means VAALID, Inc.
  • “Customer”, “you”, or “your” means the individual or organization using the Service.
  • “Account” means a registered VAALID account.
  • “Organization” means the workspace or tenant associated with an Account.
  • “Content” means any data, documents, files, text, insights, surveys, or materials uploaded to or generated within the Service.
  • “Subscription” means a paid or free plan governing access to the Service.

2. The Service

VAALID is a research and decision-intelligence platform that enables teams to collect, organize, analyze, and generate insights from documents, surveys, and other data sources, including through AI-assisted features.

We may update, modify, or discontinue features of the Service at any time. We will use reasonable efforts to notify customers of material changes.

3. Eligibility and Accounts

3.1 Eligibility

You must be at least 16 years old to use VAALID. The Service is not intended for children.

3.2 Account Registration

You must provide accurate and complete information when creating an account and keep your information up to date.

3.3 Account Security

You are responsible for safeguarding your credentials and for all activity under your Account. Notify us immediately if you suspect unauthorized access.

4. Subscriptions and Billing

4.1 Plans

VAALID offers free and paid subscription plans. Features, limits, and pricing are described on our website or within the Service.

4.2 Billing

Paid subscriptions are billed in advance on a recurring basis unless otherwise stated. Payments are processed through our billing provider.

4.3 Changes

We may change pricing or plans with reasonable notice. Changes take effect at the start of the next billing cycle unless otherwise required by law.

4.4 Taxes

Fees are exclusive of taxes. You are responsible for any applicable taxes except those based on VAALID’s income.

5. Customer Content and Ownership

5.1 Ownership

You retain ownership of all Content you upload or create in VAALID. VAALID does not claim ownership over your Content.

5.2 License to VAALID

You grant VAALID a limited, non-exclusive license to process your Content solely to provide, maintain, and improve the Service, in accordance with our Privacy Policy.

5.3 Organizational Ownership

Content created within an Organization belongs to that Organization. If a user is removed, their contributions remain with the Organization.

6. Acceptable Use

You agree not to misuse the Service. You may not:

  • Upload unlawful, harmful, or infringing content
  • Attempt to bypass security, access controls, or rate limits
  • Reverse engineer or exploit the Service
  • Use the Service to violate laws or regulations
  • Use VAALID to build competing products
  • Interfere with or disrupt the Service

We may suspend or terminate access for violations.

7. AI-Assisted Features

VAALID provides AI-assisted tools to help analyze and summarize Content.

  • AI outputs are generated based on your Content and system logic
  • Outputs may be inaccurate or incomplete
  • You are responsible for reviewing and validating results
  • VAALID does not guarantee the correctness of AI outputs
  • Customer Content is not used to train public or external AI models

AI features are provided “as is” and are not professional advice.

8. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, Cookie Notice, Data Retention & Deletion Policy, and Data Processing Addendum (if applicable).

We process personal data in accordance with applicable data protection laws.

9. Subprocessors

VAALID uses trusted subprocessors to deliver the Service (e.g., hosting, email, billing). A current list is available on our Subprocessors page.

We remain responsible for our subprocessors’ compliance with applicable obligations.

10. Termination

10.1 By You

You may cancel your Subscription at any time. Cancellation takes effect at the end of the billing period unless otherwise stated.

10.2 By VAALID

We may suspend or terminate your access if you violate these Terms or pose a security or legal risk.

10.3 Effect of Termination

Upon termination:

  • Access to the Service ends
  • Data enters the retention and deletion flow described in our Data Retention & Deletion Policy
  • Fees paid are non-refundable unless required by law

11. Availability and Support

We strive to provide reliable access to the Service but do not guarantee uninterrupted availability. Scheduled maintenance and outages may occur.

Support levels vary by plan.

12. Intellectual Property

The Service, including software, interfaces, designs, and trademarks, is owned by VAALID or its licensors. These Terms do not grant you ownership of VAALID intellectual property.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAALID DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

VAALID SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

VAALID’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO VAALID IN THE TWELVE MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless VAALID from claims arising out of your use of the Service, your Content, or your violation of these Terms.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

17. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice via the Service or email. Continued use after changes take effect constitutes acceptance.
